These terms are an agreement between Ordix LLC ("Ordix") and the business that signs up for the Ordix software ("you" or "your agency"). By creating an account or using Ordix, you accept these terms on behalf of your business and confirm you have authority to do so.
1. Agreement
Ordix provides white-label marketing software for agencies. Ordix is software only; it does not provide marketing services to your clients. If you sign an order form with Ordix, the order form controls where it conflicts with these terms.
2. Early access
During early access, features may change, be limited or be removed, and the service may be interrupted. Early-access features are provided as they are, and Ordix may end early access with 30 days' notice.
3. Accounts
- You must be a business, and every user must be at least 18.
- You are responsible for your users, their roles, and keeping sign-in details secure.
- Tell us promptly at hello@ordixit.com if you suspect unauthorized access.
4. Your responsibilities to your clients
- Before connecting a client's accounts or website, you must have the client's authorization to access them and to make the changes you make through Ordix.
- You are responsible for your agreements with your clients, the work you deliver to them, and all ad spend, budgets and website changes made in their accounts through Ordix, including changes you or the client approve.
- You are responsible for giving your clients any privacy notices and obtaining any consents the law requires for your use of their data.
- Ordix does not contact your clients and is not a party to your client relationships.
5. Acceptable use
You may not use Ordix to:
- break any law, or the terms of Google, Meta or any other connected platform;
- build or buy links in ways that violate search engine spam policies, or create deceptive or misleading ads;
- send spam or unsolicited outreach that violates anti-spam laws;
- access accounts or websites without authorization;
- upload malware, probe or disrupt the service, or exceed published rate limits;
- copy, resell outside your white-label plan, reverse engineer, or build a competing product from Ordix.
6. Third-party platforms
Ordix connects to services run by others, such as Google, Meta, TikTok, LinkedIn, Microsoft, WordPress and Webflow. Their terms apply to your use of them. Ordix is not responsible for those services, and features that depend on them may change or stop if the provider changes or withdraws access.
7. Your data
- You and your clients own the data you put into or connect to Ordix ("Customer Data").
- You grant Ordix permission to host, process and display Customer Data only to provide and support the service, as described in our Privacy Policy.
- Ordix may use aggregated, de-identified usage information to operate and improve the service. It will not identify you, your clients or any individual.
8. Fees
- Fees are set in your plan or order form and are billed in advance through Stripe, plus any metered usage billed in arrears.
- Fees exclude taxes, which you are responsible for, other than taxes on Ordix's income.
- If payment is more than 15 days late, Ordix may suspend the service after notice.
- Fees are non-refundable except where the law requires otherwise or these terms say so.
9. Ownership
Ordix owns the software, its design and documentation. You grant Ordix a limited license to display your agency's name, logo and branding within the service you configure. If you send suggestions, Ordix may use them without obligation to you.
10. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under these terms, except where disclosure is required by law.
11. Suspension and termination
- You may cancel at any time; cancellation takes effect at the end of your current billing period.
- Ordix may suspend or end access for a material breach of these terms that is not cured within 15 days of notice, or immediately where needed to prevent harm, abuse or legal violation.
- After termination, you may export Customer Data for 30 days. Ordix then deletes it as described in the Privacy Policy.
12. Disclaimers
Ordix is provided "as is" and "as available." Ordix does not guarantee search rankings, traffic, ad performance, return on ad spend, or that the service will be error-free or uninterrupted. To the extent the law allows, Ordix disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or ad spend. Each party's total liability under these terms is limited to the fees you paid Ordix in the 12 months before the claim. These limits do not apply to your payment obligations, your obligations under section 14, or a party's fraud or willful misconduct.
14. Indemnity
You will defend and indemnify Ordix against third-party claims, including claims by your clients, arising from your use of Ordix, your client relationships, changes made in your clients' accounts, or your breach of these terms.
15. General
- Governing law. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts in Delaware have exclusive jurisdiction.
- Changes. Ordix may update these terms with at least 30 days' notice by email for material changes. Continued use after the effective date means you accept them.
- Notices. Notices to Ordix go to hello@ordixit.com. Notices to you go to the account owner's email.
- Assignment. Neither party may assign these terms without consent, except in a merger, acquisition or sale of substantially all assets.
- Entire agreement. These terms, any order form and the Privacy Policy are the whole agreement. If any part is unenforceable, the rest stays in effect.
